valueIQ Acceptable Use Policy

Effective Date: Upon execution of this Agreement or, for self-serve customers, upon acceptance of the Terms of Service

Last Updated: August 25, 2026

Acceptable Use Policy

This Acceptable Use Policy (this "Policy") sets out the rules for using the valueIQ Services. It's incorporated into and forms part of the valueIQ Terms of Service (the "Terms") between valueIQ Technologies Inc. ("valueIQ," "we") and the person or organization using the Services ("Customer," "you"). Capitalized terms not defined here have the meaning given in the Terms. This Policy applies to Customer, its Users, and any Connected AI Assistant Customer authorizes.

1. Content and Data Prohibitions

You will not use the Services to upload, generate, store, transmit, or otherwise process content or data that:

  1. 1.1 infringes or misappropriates a third party's intellectual property or other proprietary rights;
  2. 1.2 contains Personal Data you don't have a lawful basis, consent, or other permission to process;
  3. 1.3 contains special categories of personal data, sensitive personal information, protected health information, payment card numbers, government identification numbers, or biometric data, unless valueIQ has agreed in writing to process that category of data. For clarity, business and commercial financial information — deal values, pricing, revenue, cost data, and similar information about an organization rather than an individual — is not restricted by this Section 1.3 and is a contemplated use of the Services;
  4. 1.4 is unlawful, defamatory, obscene, harassing, hateful, or advocates discrimination or violence against individuals or groups;
  5. 1.5 invades a person's privacy or violates their legal rights; or
  6. 1.6 contains malware, viruses, worms, or other harmful code.

2. Prohibited Conduct

You will not, and will not permit a User or any third party to:

  1. 2.1 license, sell, rent, lease, sublicense, or otherwise make the Services available to a third party, except as the Terms expressly permit;
  2. 2.2 access or attempt to access the Services using credentials that aren't your own, or share User IDs across individuals;
  3. 2.3 interfere with or disrupt the integrity or performance of the Services, or of valueIQ's systems or networks;
  4. 2.4 attempt to gain unauthorized access to the Services or related systems, including through security-testing tools used to probe, scan, or penetrate valueIQ's systems without valueIQ's prior written authorization;
  5. 2.5 reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, model weights, or underlying architecture of the Services, except to the extent applicable law prohibits this restriction;
  6. 2.6 use the Services, Output, or any data obtained from the Services to develop, train, or benchmark a product or service that competes with the Services;
  7. 2.7 scrape, crawl, or use automated means to extract data from the Services beyond normal use through the interfaces and APIs valueIQ provides; or
  8. 2.8 authorize, enable, or encourage any third party to do any of the above.

3. Artificial Intelligence and Agent-Specific Prohibitions

This Section addresses risks specific to the Services' agentic and AI features and applies in addition to Sections 1 and 2.

  1. 3.1 High-Risk Decisioning Without Human Review. Use the Services, an Agent, or Output as the sole or primary basis for a decision with a legal or similarly significant effect on an individual — including decisions concerning credit, employment, housing, insurance, education, healthcare, or access to essential services — without meaningful human review, as required by Section 9.4 of the Terms.
  2. 3.2 Circumventing Guardrails. Attempt to bypass, disable, or circumvent an Agent's safety controls, content filters, guardrails, confirmation prompts, or rate limits, whether through prompting technique, tooling, or otherwise.
  3. 3.3 Prompt Injection and Adversarial Attacks. Submit content designed to manipulate an Agent into acting outside its intended scope, to extract system prompts, model configuration, or other customers' data, or otherwise to attack the Services' AI models or infrastructure.
  4. 3.4 Automated Resale of Agent Capacity. Automate, resell, or broker access to Agent capacity, Credits, or API access, including through account-sharing or credential-pooling arrangements designed to exceed a single Account's plan limits.
  5. 3.5 Impersonation and Non-Disclosure. Use an Agent or Output to impersonate a person, or to present AI-generated content as human-generated in a context where applicable law requires disclosure that the content is AI-generated.
  6. 3.6 Unauthorized Third-Party Connections. Connect a Connected AI Assistant to the Services in breach of that third party's own terms of service, or using credentials or authorization you don't hold.
  7. 3.7 Regulated Data via Agents. Direct an Agent or Connected AI Assistant to process a category of data restricted under Section 1.3.

4. Free Plan and Account Integrity

This Section addresses the abuse risks specific to the Free plan, which doesn't require a payment method at signup.

  1. 4.1 One Account Per Person or Entity. The Free plan is for evaluating the Services. You will not create, or permit a User to create, multiple Free plan Accounts for the same individual, team, or organization in order to obtain more free Credits, seats, or usage than a single Account would provide.
  2. 4.2 No Automated Signups. You will not create Accounts using automated means, scripts, bots, or falsified registration information, or use disposable or temporary email addresses to evade account limits or verification.
  3. 4.3 No Abuse of Free-Tier Access. You will not use a Free plan Account to probe, test, or attempt to circumvent the Services' security controls, rate limits, or Agent guardrails in a manner that would violate Section 2 or 3, whether or not you intend to escalate the same conduct on a paid plan.
  4. 4.4 Verification. Account creation requires completing email verification (currently a one-time code sent to the email address provided). valueIQ may add further verification — phone or otherwise — before or after Account creation, may limit the number of Accounts associated with a given individual, organization, payment fingerprint, or device, and may decline or revoke Free plan access at its discretion where it reasonably suspects abuse under this Section 4.
  5. 4.5 Credits Are Not a Right. Free plan Credit allocations, rollover, and features may change at any time on notice under Section 16.2 of the Terms. Nothing in this Policy or the Terms entitles you to a particular Credit allocation on the Free plan.

5. Enforcement

  1. 5.1 Immediate Suspension. valueIQ may suspend your access to the Services immediately, without prior notice, where valueIQ reasonably believes doing so is necessary to: (a) prevent harm to the security, integrity, or availability of the Services or another customer's data; (b) prevent an unlawful act or comply with a legal or governmental requirement; or (c) address conduct under Section 3 (AI and Agent-Specific Prohibitions) that presents an immediate safety, security, or legal risk. valueIQ will notify you of the reason for the suspension as soon as reasonably practicable.
  2. 5.2 Notice-and-Cure Suspension. For any other breach of this Policy, valueIQ will give you notice describing the breach and ten (10) Business Days to cure it before suspending your access. If you don't cure the breach within that period, valueIQ may suspend or terminate your Account in accordance with the Terms. This Section 5 — not Section 5.3(b) of the Terms — governs the cure period for a breach of this Policy, including where that breach also constitutes a breach of the Terms.
  3. 5.3 Scope and Restoration. valueIQ will limit the scope and duration of a suspension to what's reasonably necessary to address the issue, and will restore access promptly once it's resolved. Suspension doesn't relieve you of your payment obligations under the Terms.
  4. 5.4 Reporting Abuse. If you become aware of a violation of this Policy — including suspected misuse of an Agent, a Connected AI Assistant, or the Free plan — report it to legal@valueiq.ai.

6. Updates to This Policy

valueIQ may update this Policy from time to time in accordance with Section 16.2 of the Terms. The version in effect at https://www.valueiq.ai/acceptable-use supersedes prior versions.
